Terms of Service

1. Acceptance of Terms

By accessing or using the VidX platform (“Service”), operated by VidX USA (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and the Company.

2. Eligibility

To use VidX, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Maintain an active X (formerly Twitter) account in good standing
• Hold a verified Premium+ subscription on X at the time of registration and throughout your use of the Service
• Have the legal capacity to enter into a binding agreement
• Not be barred from using the Service under applicable law

We reserve the right to verify your eligibility at any time and to suspend or terminate accounts that do not meet these requirements.

3. Account Registration

You must provide accurate, current, and complete information during the registration process. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss arising from unauthorized use of your account.

4. User Content

You retain ownership of all content you submit, post, or display on or through the Service (“User Content”). By submitting User Content, you grant VidX a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Service and VidX’s business operations, including for the purpose of promoting and redistributing part or all of the Service.

You represent and warrant that you own or have the necessary rights, licenses, consents, and permissions to submit User Content and to grant the foregoing license.

5. Prohibited Conduct

You agree not to:

• Upload content that infringes on intellectual property rights of any third party
• Post content that is defamatory, obscene, abusive, invasive of privacy, or otherwise objectionable
• Use the Service to harass, threaten, or intimidate any person
• Distribute malware, viruses, or any other harmful software
• Attempt to gain unauthorized access to any portion of the Service or any systems or networks connected to the Service
• Use automated means, including bots, scrapers, or crawlers, to access or collect data from the Service without our express written permission
• Engage in any activity that interferes with or disrupts the Service
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Circumvent, disable, or otherwise interfere with security-related features of the Service
• Use the Service for any illegal or unauthorized purpose

6. Creator Monetization

VidX offers eligible creators the opportunity to earn revenue through various monetization features, including but not limited to ad revenue sharing, tips, subscriptions, and content licensing. Participation in monetization programs is subject to additional terms and eligibility requirements that may be communicated to you separately.

Revenue shares, payment thresholds, and payout schedules are determined at our sole discretion and may be modified with thirty (30) days’ prior notice. All earnings are subject to applicable taxes, and you are solely responsible for reporting and remitting any taxes owed in connection with payments received through the Service.

We reserve the right to withhold, suspend, or forfeit payments in cases of suspected fraud, Terms violations, or chargebacks.

7. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of VidX USA and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of VidX USA.

8. DMCA and Copyright Policy

We respect the intellectual property rights of others and expect users to do the same. In accordance with the Digital Millennium Copyright Act (“DMCA”), we will respond to valid notices of alleged copyright infringement that comply with the DMCA.

If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement, please provide our designated copyright agent with the following information: (i) a description of the copyrighted work; (ii) a description of where the material is located on the Service; (iii) your contact information; (iv) a statement of good faith belief that the use is not authorized; (v) a statement under penalty of perjury that the information is accurate; and (vi) your physical or electronic signature.

9. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. Upon termination, your right to use the Service will cease immediately. All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VIDX USA, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (iii) ANY CONTENT OBTAINED FROM THE SERVICE; OR (iv) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100.00) OR THE AMOUNT YOU PAID US, IF ANY, IN THE PAST SIX MONTHS FOR THE SERVICE GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to defend, indemnify, and hold harmless VidX USA and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, actions, demands, liabilities, and settlements, including reasonable attorney’s fees, resulting from or alleged to result from your use of the Service, your User Content, or your violation of these Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Wilmington, Delaware, and you consent to the personal jurisdiction of such courts.

Any claim or cause of action arising out of or related to the Service must be filed within one (1) year after such claim or cause of action arose, or be forever barred.

14. Modifications to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the Service following the posting of revised Terms means you accept and agree to the changes.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. The invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law.

16. Entire Agreement

These Terms constitute the entire agreement between you and VidX USA regarding the use of the Service, superseding any prior agreements between you and the Company relating to the subject matter herein.
